EIN - Tax ID Number
We will obtain your company’s Employer Identification Number (EIN) from the IRS. Corporations and LLCs need an EIN for tax purposes. Also known as the Tax ID, banks require EINs from a corporation or LLC to open a bank account.
S Corporation, Form Preparation
The term "S" corporation refers to the way in which a general or "C" corporation is taxed. An "S" corporation is a "pass through" entity, meaning that the corporation itself is not taxed, only the shareholders. Instead, shareholders report a proportion of the annual profit or loss of the "S" corporation on their personal tax return. If you want to become an "S" Corporation you must select this service within about two and a half months of incorporating.
Action of the Sole Incorporator
This is a resolution issued by the Incorporator appointing the initial directors of the company (or members of a Limited Liability Company) when they have not been listed at the articles of incorporation.
The Action of the Sole Incorporator empowers directors or members to act on behalf of the company.
Publishing Instructions
Some states require new entities to publish a notice of incorporation in one or more newspapers. We’ll provide you with instructions about how to fulfill that requirement at no extra charge.
States with publishing requirements are: Arizona, Georgia (corporations only), Nebraska, New York (LLC only), and Pennsylvania (corporations only).
