Limited Liability Name Endings
Must contain the words "limited liability company" or "limited company," or the abbreviations "L.L.C." or "L.C.," or the designations "LLC" or "LC" as the last words of the name.
The word "limited" may be abbreviated as "Ltd.," and the word "company" may be abbreviated as "Co."
A name may not contain language stating or implying that the limited liability company is organized for a purpose other than that permitted in the Florida code and its articles of organization.
Additionally, a name may not contain language stating or implying that the limited liability company is connected with a state or federal government agency or a corporation or other entity chartered under the laws of the United States.
Purpose
A limited liability company may be organized for any lawful purpose, but remains subject to statutes and regulations of the laws of the state of Florida for regulating and controlling its business.
Members Information
Minimum Number - One or more
Residence Requirements - No provision.
Age Requirements - A natural person, age 18 years or older.
Members are not required to be listed in the articles of organization
Another Corporation or LLC can be a member or a Limited Liability Company.
Management
Members can manage the LLC by themselves or through a Manager. If the limited liability company is to be managed by one or more managers, the articles of organization may, but need not, include a statement that the limited liability company is to be a manager-managed company.
Unless otherwise provided in its articles of organization or the operating agreement, the limited liability company shall be a member-managed company.
Corporate Records
Corporate records must be kept; however, they are not required to be stored at a specific location.
Taxes and Fees
Annual Statements
All businesses are required to file a Uniform Business Report. The annual filing fee is $50. Reports are due January 1 and become delinquent if not filed by May 1.
