All what you need to now about buying a “Ready Made Company” in the USA.

Are these companies, what is called a “shelf corporation”?

No, this is not a shelf corporation (a company incorporated some time ago and that sits on the shelf waiting to be acquired). This is a brand new, running company.

Why Florida?

Because we are located in Florida. Also, we will take care of opening a bank account for your company. It is required that a bank account is set up  in the state where the company was registered (otherwise the banks will not allow you to open the account). For instance, if you incorporate your business in Delaware, you wouldn’t be able to open a checking account in Florida.

Also, the state of Florida is a very friendly state not only for corporations and LLC but for foreign individuals. Local businesses are used to dealing with foreign customers and in general you can always find somebody that also speaks your language.

Can I select another State?

No. Regretfully you can’t. In the future, you can transfer the company to another state (assuming this feature is available in your new state), but we only provide this service in the State of Florida.

Will we have a valid US Address?

Yes. You will have two addresses actually: the Registered Agent address (required by the State) and your business address in the state of Florida. You can use this address to receive mailings and commercial documents. The service provider will forward you these documents according to your preferences. You will be able to customize this service to meet your needs.

Is there any risk involved?

No. This operation is risk free and 100% legal. Anybody can buy an US company. You don’t need to live in the US to own a company or property.

Also, since the companies we sell are new, they don’t have any attached liability. They never have been involved in any business beyond some few providers like the Mail Forwarding service provider, bank, QuickBooks Online, or Registered Agent. These providers don’t have long-term commitments (you can change the bank or the Registered Agent anytime).

Do I have to pay something else?

No, this is all what you have to pay to buy the company. Some services were already been paid in advance for one year, so you don’t have to worry about them. Some others will require a monthly payment. To give you an idea, these are some of the services and they cost.

  • Mail Forwarding Services: paid in advance for 1 year – Renewal rate will be $360.00 per year
  • Online Accounting system: $9.9 per month – You will have to pay for that
  • Bank: typically $15.00 per month – Your checking account will be debited each month.
  • Registered Agent: paid in advance for 1 year – Already paid. Renewal rate will be $225.00 per year
  • Phone Line: first year paid. Renewal rate $20.00 per year for unlimited calls in the USA.

What can of activity I can carry out?

There are no restrictions related to the main purpose of a company as long it is lawful.

Do I have to notify the change of ownership?

Yes. It will be convenient for you to update your business partners about the new board of directors (Corporations) or manager (LLC) so they have the authority to sign on behalf of the company.

How do I manage the bank account after you transfer the ownership?

You will have to update the bank records with the name of your new authorized director. This person will have to be listed at the FL Department of State website. To do so, we will file articles of amendment at no extra charge. It will also be necessary that your appointed director visit the bank to register his or her signature and verify his or her IDs. Beyond that point, you can manage your bank account through the Internet.
